Vendor Network legal documents

1. Parties and scope

This Vendor Network Participation Agreement (the "Agreement") is between the operator of the Storm Buddy platform (legal entity: [TO BE COMPLETED BY COUNSEL]) ("Storm Buddy") and the company identified in your vendor workspace ("Vendor").

It governs Vendor's participation in the Storm Buddy Vendor Network directory, inquiry tools and, for material suppliers, catalog and order tools.

2. Independent status

Storm Buddy is a technology platform. Storm Buddy is not a contractor, supplier, lender, lead seller, employer, broker or agent of any Vendor or contractor.

Vendor and each contractor are independent businesses. Nothing in this Agreement creates a partnership, joint venture, franchise, employment or agency relationship. Any agreement for goods or services is solely between Vendor and the contractor.

3. Accuracy and authority

The person accepting represents that they are authorized to bind Vendor to this Agreement.

Vendor represents that its company information, categories, service areas, licenses, offerings, pricing, product data and availability information are accurate, current and not misleading, and agrees to correct them promptly when they change.

4. Listing approval is discretionary

Storm Buddy may approve, decline, suspend or remove any listing at its discretion. Submitting a profile or accepting this Agreement does not guarantee a listing.

A listing is not an endorsement, certification, recommendation or verification of Vendor, its licensing, insurance, quality or compliance.

5. No guarantees

Storm Buddy does not guarantee any volume of inquiries, leads, orders, revenue, contractor engagement or platform availability.

The platform is provided "as is" to the extent permitted by law.

6. Pricing, inventory and catalog accuracy

Vendor is solely responsible for prices, product descriptions, photos and availability it publishes. Catalog information is maintained by Vendor; Storm Buddy does not verify inventory.

Vendor must not present stock, pricing or delivery commitments it cannot honor.

7. Data privacy

Vendor may use contractor information received through the platform only to respond to that contractor's inquiry or order, and must comply with applicable privacy, consumer-protection and marketing laws.

Vendor must not sell, rent or share contractor or homeowner information received through the platform without the required consent.

8. Acceptable use

Vendor will not: post false or misleading content; send spam or unsolicited bulk messages; scrape or harvest data; impersonate others; attempt to access other companies' data; interfere with the platform; or use it for any unlawful purpose.

9. Fees

10. IndemnityCounsel review

12. Term and termination

Either party may end participation at any time. Storm Buddy may suspend or terminate access for breach, risk to users, or legal requirements. Sections that by their nature should survive (including accuracy, privacy, indemnity and liability) survive termination.

14. Changes

Material suppliers

Prices, inventory and delivery information are maintained by Vendor and may change; Vendor confirms availability before fulfilling orders.

Orders and invoices are between Vendor and the contractor. Storm Buddy does not process material payments or guarantee delivery.

Any connection to third-party supplier systems is subject to integration and permissions.

Lead providers

Vendor represents it obtains all consents required by law (including for calls, texts and emails) for every lead it provides, and can produce consent records on request.

Vendor complies with applicable privacy and telemarketing laws and will not resell, share or reuse leads without the consumer's authorization.

Storm Buddy does not generate, verify or guarantee the quality of any lead.

Estimating & measurements

Measurements and estimates are Vendor's work product. Vendor discloses methods and known limitations; Storm Buddy does not verify accuracy.

Labor & crews

Vendor represents it holds and maintains all licenses, registrations and insurance required where it works, and will provide proof on request.

Specific insurance minimums: [TO BE COMPLETED BY COUNSEL]. Storm Buddy does not verify licensing or insurance and is not an employer of any crew.

Finance

Vendor represents it (or its lending partner) is properly licensed or registered for the financing it offers and complies with applicable lending, disclosure and marketing laws.

Storm Buddy is not a lender, broker or arranger of credit, does not make credit decisions, and does not guarantee approval, rates or terms. All programs are subject to lender approval.

Equipment & rentals

Vendor is responsible for equipment condition, safety information, rental terms and any required operator certifications it states.

Business services

Vendor holds any professional licenses its services require (for example insurance, accounting or legal-adjacent services) and does not represent Storm Buddy endorsement.

Trade specialists

Vendor represents it holds the licenses and insurance required for its specialty trade where it works. Storm Buddy does not verify these.

Privacy acknowledgment

I acknowledge that Storm Buddy records my user ID, company ID, the document versions I accept and the time of acceptance (UTC) as a consent record.

I acknowledge that my company profile, categories, service areas and contact details will be visible to approved contractors if my listing is approved.

I acknowledge that contractor information I receive through the platform may only be used as described in the Participation Agreement.
